SNODHIVE TERMS & CONDITIONS

1. SNODHIVE Ecosystem

SNODHIVE provides Profile-based ecosystem participation, matching, opportunity identification and opportunity delivery services.

Participants may submit a Matching Profile containing information about their organisation, activities, capabilities, needs, interests and relevant opportunity criteria.

SNODHIVE may proactively identify and share potentially relevant opportunities based on the information contained in Matching Profiles.

Participation in the SNODHIVE ecosystem does not guarantee that any particular match, opportunity, investment, partnership, commercial relationship or transaction will arise or be completed.

2. Information Provided by Participants

Participants are responsible for the information submitted through their Matching Profile or otherwise provided to SNODHIVE.

By providing information, participants confirm that:

  • they are authorised to provide such information;

  • they have the necessary rights and permissions in relation to information concerning third parties;

  • the information does not include special-category personal data, confidential information, trade secrets or other undisclosed sensitive content that they are not authorised to share.

Participants remain responsible for keeping material information reasonably accurate and up to date.

3. Matching and Opportunities

SNODHIVE may analyse Profile information, identify and deliver potentially relevant opportunities within its ecosystem.

Participants are not required to search or browse opportunities.

Any match or opportunity identified or communicated by SNODHIVE is provided for informational and opportunity-identification purposes only.

A match or opportunity does not constitute a guarantee, recommendation, endorsement, legal advice, financial advice or investment advice.
Participants agree to promptly notify SNODHIVE if an investment transaction is completed in connection with an opportunity identified, introduced or communicated through the SNODHIVE ecosystem.

4. Independent Evaluation

Participants remain solely responsible for independently evaluating any opportunity and any third party involved.

Participants are responsible for:

  • verifying information received;

  • conducting any necessary due diligence;

  • obtaining appropriate legal, financial, tax, technical or other professional advice;

  • making their own business, commercial, investment and strategic decisions.

SNODHIVE does not make decisions on behalf of ecosystem participants.

5. Ecosystem Membership

Certain SNODHIVE services may require activation of a paid Ecosystem Membership.

Membership fees remunerate access to SNODHIVE's ongoing Profile-based matching, opportunity identification and opportunity delivery services.

Ecosystem Membership fees are not commissions relating to the completion of any specific transaction.

Applicable membership fees, duration and payment conditions are communicated before activation.

6. Limitation of Responsibility

SNODHIVE, its owner, personnel, collaborators and contractors shall not be liable for:

  • information provided by ecosystem participants or other third parties;

  • decisions made on the basis of such information;

  • the conduct, reliability or performance of third parties;

  • the failure of an opportunity, relationship or transaction to proceed or be completed;

  • the financial, commercial, investment or strategic outcome of any interaction or transaction.

SNODHIVE does not guarantee the accuracy, completeness or reliability of information supplied by ecosystem participants or other third parties.

7. Relationship with SNODHIVE

Participation in the SNODHIVE ecosystem does not by itself create a strategic advisory, agency, representation, fiduciary, partnership or joint venture relationship with SNODHIVE.

Any strategic advisory or transaction-specific engagement provided by SNODHIVE will be governed separately.

8. Privacy

Personal data are processed in accordance with the SNODHIVE Privacy Policy.

Participants should not submit special-category personal data and/or confidential information, trade secrets or any undisclosed sensitive content.

9. Changes to the Service

SNODHIVE may update or develop its ecosystem services, Matching Profiles, membership structure and opportunity-delivery processes over time.

Any material changes affecting an existing paid membership will be communicated where appropriate.

10. Governing Law

These Terms & Conditions are governed by Italian law.
Unless otherwise agreed in writing, any dispute relating to these Terms & Conditions shall be subject to the competent courts under applicable law.
These Terms & Conditions may be made available in different languages. In the event of any inconsistency or discrepancy between translations, the English version shall prevail.

11. Confidentiality and Permitted Disclosure

Information provided to SNODHIVE will be treated as confidential and will not be disclosed to third parties except where reasonably necessary to share relevant information with potential counterparties in connection with an opportunity identified through the SNODHIVE ecosystem.

Information may also be disclosed where necessary to service providers supporting the operation of SNODHIVE, subject to appropriate confidentiality and data-protection obligations, or where disclosure is required by applicable law or a competent authority.

SNODHIVE will limit any disclosure to information reasonably relevant to the applicable purpose or opportunity.

12. Internal Use, Aggregated and Anonymized Data

SNODHIVE may use information provided through the ecosystem to operate, maintain, secure and improve its internal processes, services, matching systems and platform tools, in accordance with the Privacy Policy and applicable law.

SNODHIVE may also derive aggregated and anonymized data, insights and statistics from information collected through the ecosystem and use them to develop aggregated ecosystem insights, market intelligence, analytical resources and commercial data products.

Such aggregated and anonymized outputs shall not identify, or reasonably permit the identification or re-identification of, individual participants or natural persons and shall not disclose confidential information, trade secrets or undisclosed sensitive content relating to a participant.
